Facebook is seen crossing an SEC threshold late this year that triggers disclosure of fin’l information. The site Inside Facebook also reported the number of registered users in the U.S. fell to 149.4 mil from 155.2 mil in May, suggesting the network may have peaked.

Investor’s Business Daily – A joint venture between MGM Resorts Int’l and Pansy Ho, daughter of Chinese gambling tycoon Stanley Ho, raised the funds in an initial public offering on Hong Kong’s stock exchange. MGM China Holdings’ IPO priced at the top end of its range of $1.59-$1.97. As part of the IPO, MGM China became owner of MGM Grand Paradise SA, the Macau company that owns the MGM Grand Macau resort and casino, the world’s top gambling destination. MGM fell 4% to 14.19.

American Tower said it will cooperate with the request for documents since 2007. Last month, the company’s board OK’d steps to reorganize as a real estate investment trust in 2012. At the time, it said converting to a REIT was the best cash distribution and tax strategy. It fell 5.8% to 51.21.

The pact is intended to allow firms to rent computing power and access services through the exchange operator’s new data center. NYSE shares fell 2.5%; EMC and VMware slid 1.4% each.

Investor’s Business Daily – The maker of luxury handbags is planning a listing on the Hong Kong Stock Exchange to raise awareness of its brand in Asia, while remaining listed on the NYSE. Coach will issue Hong Kong depositary receipts, but no additional shares will be issued and no capital will be raised. While Coach has 55 stores in China vs. 174 in Japan, China is its fastest-growing region and 11 more stores are planned there this year. Shares climbed 1.2% to 60.66.
